These terms explain the rules for using the Open VTS website, software downloads, evaluation environments, and related commercial or support services.
Business and evaluation use
These terms govern access to the Open VTS website, downloads, demos, documentation, and any software, support, or implementation services we provide.
Self-hosted by default
Most Open VTS deployments run on infrastructure selected and controlled by the customer, with the customer responsible for operational settings and end-user access.
Ownership and restrictions
Customers control their deployment data, while Open VTS retains ownership of the software, website content, branding, and related intellectual property unless agreed otherwise in writing.
Global commercial use
Open VTS serves organizations across regions and industries where data sovereignty, infrastructure control, and flexible deployment terms matter.
1. Acceptance and scope
These Terms of Use are issued by QUANTUMLOGIC PRIVATE LIMITED, the legal entity that operates Open VTS.
These Terms of Use apply to your access to and use of the Open VTS website, downloadable software, demos, documentation, APIs, support channels, and related services that reference these terms.
By accessing or using those materials, you agree to be bound by these terms and by any additional written agreement that applies to a purchase, implementation, managed hosting, reseller relationship, or enterprise engagement. If another signed agreement conflicts with these terms, the signed agreement controls for that engagement.
2. Eligibility and authority to act
Open VTS is offered primarily for business, organizational, and professional use. If you are using Open VTS on behalf of a company, public authority, fleet operator, reseller, or other entity, you represent that you have authority to bind that entity to these terms.
You may not use Open VTS if doing so would violate applicable export controls, sanctions, fleet privacy obligations, employment rules, or other laws that apply to your organization, users, vehicles, or deployment region.
3. Software, deployments, and service scope
Open VTS provides vehicle tracking software, product information, downloadable packages, technical documentation, and related commercial or support services. The precise scope of what you receive depends on the plan, license, statement of work, or other offering you select.
Open VTS is designed around a self-hosted deployment model. In most cases, customers deploy the platform on infrastructure they select and administer. That means the customer controls hosting location, user permissions, integrations, device connectivity, retention settings, and operational configurations for their own environment.
If Open VTS provides implementation help, evaluation environments, managed hosting, or troubleshooting assistance, that support is limited to the agreed scope and does not transfer operational responsibility for the customer environment unless we expressly agree otherwise in writing.
4. Customer responsibilities
You are responsible for your own deployment choices, business processes, regulatory notices, and end-user use of the platform. This includes your responsibility to ensure that your use of telematics, GPS, camera, driver, workforce, or dispatch data is lawful in the jurisdictions where you operate.
- Maintaining secure infrastructure, access controls, credentials, and backup practices for customer-hosted deployments.
- Configuring lawful notices, consents, labor-process controls, and retention rules for drivers, staff, contractors, or other end users.
- Verifying compatibility, connectivity, and lawful operation of third-party GPS devices, cameras, SIMs, hosting providers, and integrations used with the platform.
- Reviewing output, reports, alerts, and automation before relying on them for safety-critical, employment, dispatch, or compliance decisions.
5. Acceptable use restrictions
You may not use Open VTS in a way that interferes with the service, harms others, or breaks applicable law. Without limitation, you may not:
- Attempt unauthorized access to any Open VTS systems, accounts, code, downloads, or infrastructure.
- Probe, scan, reverse engineer, copy, scrape, or misuse the website or software beyond rights expressly granted by law or written agreement.
- Use the platform to infringe privacy, track individuals unlawfully, bypass employment or surveillance rules, or process data without appropriate notice or authority.
- Upload malware, disrupt service availability, overload systems, or use the software in a way that creates material security or operational risk.
- Remove proprietary notices, misrepresent affiliation with Open VTS, or use our brand assets without permission.
6. Intellectual property and feedback
Unless otherwise stated in writing, Open VTS and its licensors retain all rights, title, and interest in the website, product materials, software, branding, documentation, design assets, and related intellectual property. These terms do not transfer ownership of those rights.
Subject to the license, plan, or commercial terms that apply to your purchase, Open VTS grants you a limited right to access and use the materials provided for your internal evaluation or business operations. Any broader redistribution, resale, sublicensing, derivative work, or white-label use requires separate written authorization unless expressly permitted by the applicable software license.
If you send suggestions, product feedback, or improvement ideas, Open VTS may use that input without restriction or compensation, provided we do not disclose your confidential information in doing so.
7. Commercial terms, fees, and third-party costs
Pricing, invoice timing, license scope, and implementation deliverables are governed by the order, quotation, invoice, pricing page, or contract that applies to the transaction. Published pricing may change prospectively unless fixed by a signed agreement.
Your use of Open VTS may also involve third-party costs that are outside our control, including cloud hosting, servers, mobile data plans, GPS hardware, camera devices, SMS gateways, mapping vendors, payment processors, or implementation partners. You are responsible for those external charges unless we expressly agree to supply them.
Refund requests for purchases made directly through our website checkout are handled under our Refund Policy.
8. Disclaimers and service availability
Except to the extent expressly stated in a written agreement, Open VTS materials and services are provided on an as-is and as-available basis. We do not guarantee uninterrupted availability, universal device compatibility, error-free operation, or that the service will meet every legal, technical, or operational requirement of your organization.
Fleet tracking outputs can be affected by GPS conditions, hardware quality, mobile networks, cloud dependencies, user configuration, infrastructure choices, and third-party integrations. You should independently validate suitability for your environment before relying on the platform for operational or compliance-sensitive use cases.
9. Limitation of liability
To the maximum extent permitted by law, Open VTS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business interruption, or procurement of substitute services arising from or related to these terms or your use of the service.
To the maximum extent permitted by law, the total liability of Open VTS for any claim arising out of or related to these terms will not exceed the amount paid by you to Open VTS for the specific product or service giving rise to the claim during the 12 months before the event giving rise to liability, or one hundred United States dollars if no fees were paid.
Some jurisdictions do not allow certain limitations or exclusions, so parts of this section may not apply to you to the extent prohibited by law.
10. Suspension, termination, and updates
Open VTS may suspend or terminate access to website services, evaluation systems, support tools, or other materials if we reasonably believe there is misuse, security risk, non-payment, infringement, unlawful activity, or breach of these terms.
You may stop using the website or service materials at any time. Termination does not relieve you of obligations that by their nature should survive, including payment obligations, intellectual property protections, disclaimers, liability limits, confidentiality, and dispute-related terms.
We may update these Terms of Use from time to time to reflect product changes, legal requirements, or business practices. When we do, we will post the updated version on this page and revise the date above.
